Terms of Service

1. Acceptance of Terms

Welcome to Katalo, operated by Erphitea OÜ ("we," "our," or "us"), a private limited company registered in Estonia (Reg. No. 17272613, VAT ID: EE102940097), with registered address at Ahtri tn 12, 15551 Tallinn, Estonia.

By accessing or using our website at katalo.ai, our web application, our API, or our Manual Service (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use the Service.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case "you" refers to that entity.

2. Description of Service

Katalo provides AI-powered virtual staging, image enhancement, and visualization technology and services for real estate and related markets. The Service is delivered through three channels:

2.1 Manual Service. Clients submit real estate listing photos via the designated submission process. Katalo's team processes these images using AI to perform the requested enhancement(s) and delivers the results. Turnaround times and specific deliverables are communicated at the time of submission or as otherwise agreed in writing.

2.2 Web Application. A self-serve platform (available at katalo.ai) that allows users to upload images and apply AI enhancements directly. Features currently include:

• AI photography enhancement and image quality improvement
• Virtual staging (AI-powered furnishing of empty or semi-empty rooms)
• Room clearing (removal of existing furniture)
• Refurnishing (replacement of existing furniture with AI-staged alternatives)
• Renovation mode (modifications to fixtures, walls, and structural elements)
• Style selection (multiple design styles available)
• Room type selection
• Download of enhanced/staged image outputs

2.3 Katalo API. A programmatic interface that allows developers, real estate platforms, and technology providers to integrate Katalo's AI enhancement capabilities into their own products and workflows. API usage is subject to these Terms and any additional API-specific documentation that we provide within the Service, directly to customers, or upon agreement.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will use commercially reasonable efforts to provide advance notice of material changes.

3. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are using the Service on behalf of a business entity, you further represent that the entity is duly organized and in good standing.

4. User Accounts

4.1 Account Creation

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately at info@katalo.ai of any unauthorized use of your account or any other breach of security.

4.3 Account Suspension and Termination

We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to: violation of these Terms, fraudulent or illegal activity, non-payment of fees, or extended inactivity. We will use reasonable efforts to provide notice where feasible.

5. Subscription Plans and Payment Terms

5.1 Plans and Pricing

Katalo offers subscription plans with different feature tiers and usage allowances. Current plan details and pricing are provided at checkout, in the App, or otherwise communicated to you in writing. We reserve the right to change our pricing at any time, with at least 30 days' advance notice to existing subscribers before any price increase takes effect.

5.2 Free Trial

We may offer a free trial period for new subscribers. At the end of the free trial, your subscription may automatically convert to a paid plan unless you cancel before the trial period ends.

5.3 Billing and Payment

• All fees are charged in the currency displayed at checkout (typically EUR or USD), on a monthly or annual basis depending on your selected plan.
• Payments are processed by Lemon Squeezy (LS Tech Inc., d/b/a Lemon Squeezy), which acts as the merchant of record for all transactions. By completing a purchase, you agree to Lemon Squeezy's terms and conditions in addition to these Terms.
• Your subscription will automatically renew at the end of each billing period unless you cancel it prior to renewal.
• You authorize Lemon Squeezy to charge your payment method on a recurring basis in accordance with your selected plan.
• If payment fails, we may suspend your access to the Service until payment is resolved.

5.4 Manual Service Fees

Fees for the Manual Service are agreed separately at the time of submission or as set out in a written agreement. Unless otherwise specified, Manual Service fees are due upon invoice, and invoices are payable within 14 days of the invoice date.

5.5 API Usage Fees

API usage may be subject to separate pricing, rate limits, and overage charges as described in the API documentation or your API agreement. Excessive or abusive API usage may result in throttling or suspension.

5.6 Refund Policy

Refunds are not guaranteed. Lemon Squeezy, as merchant of record, handles billing and may have its own refund procedures. You may contact us at info@katalo.ai within 14 days of a charge if you believe a refund is warranted, and we will review requests in good faith on a case-by-case basis. Credits or refunds issued, if any, are at Katalo's sole discretion.

Note: This policy is subject to applicable mandatory consumer protection laws in your jurisdiction.

5.7 EU Consumer Right of Withdrawal

If you are a consumer in the European Union or EEA and you purchase a subscription to the Service, you have a statutory 14-day right of withdrawal from the contract under the EU Consumer Rights Directive (2011/83/EU), beginning from the date of purchase.

However, by initiating use of the Service (e.g., uploading an image or generating a staged output) before the 14-day period expires, you expressly request that performance begins immediately and acknowledge that you lose your right of withdrawal once the Service has been fully performed. Where performance is not yet complete, you remain entitled to a pro-rata refund for the unused portion of the service.

Because Lemon Squeezy acts as merchant of record, withdrawal requests under this section should be directed to Lemon Squeezy via their customer portal or to info@katalo.ai.

6. Acceptable Use Policy

6.1 Permitted Use

The Service is intended for legitimate real estate and related professional use. You may use the Service to enhance, stage, and visualize property images for marketing, listing, design, development, or architectural purposes.

6.2 Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose or in violation of applicable laws or regulations
• Upload images of individuals without their consent, or upload content that violates any person's privacy or publicity rights
• Upload images that contain illegal, harmful, obscene, or defamatory content
• Reverse engineer, decompile, or disassemble the Service or its underlying AI models
• Access the Service through automated means (e.g., bots, scrapers) except through the officially supported API
• Introduce viruses, malware, or other harmful code
• Interfere with or disrupt the Service, its servers, or networks
• Attempt to gain unauthorized access to any portion of the Service
• Resell, sublicense, or white-label the Service without our prior written consent (except as expressly permitted under a separate agreement)
• Misrepresent AI-generated images as authentic photographs in a manner that deceives buyers, tenants, or other parties in a real estate transaction, in violation of applicable real estate regulations or advertising standards

6.3 Enforcement

We reserve the right to investigate and take appropriate action against violations of this Acceptable Use Policy, including removal of content, account suspension or termination, and referral to law enforcement authorities.

7. User Content and Intellectual Property

7.1 Your Content

You retain ownership of all images and other content you upload to the Service ("User Content"). By uploading User Content, you grant Erphitea OÜ a non-exclusive, worldwide, royalty-free license to use, process, store, display, and transmit your User Content solely for the purposes of:

• Delivering the Service to you
• Improving Katalo's AI generation workflows, prompt engineering, AI evaluation mechanisms, using aggregated and anonymized analytics and feedback derived from your User Content

Katalo does not train its own AI models using your User Content in a manner that would allow your specific images to be reproduced. Your images may be processed by third-party AI model providers solely to generate outputs for your account.

7.2 Your Representations

You represent and warrant that:

• You have the right to upload and use the User Content
• Your User Content does not infringe any third party's intellectual property, privacy, or other rights
• Your User Content complies with these Terms and all applicable laws

7.3 AI-Generated Output

Subject to your compliance with these Terms and payment of applicable fees, you own the AI-generated output images produced from your User Content ("Output Images"). You are solely responsible for how you use Output Images, including compliance with applicable real estate advertising laws and disclosure requirements regarding AI-generated or virtually staged content.

7.4 Katalo's Intellectual Property

The Katalo brand, website, web application, API, software, AI workflows, documentation, logos, and all related intellectual property are owned by Erphitea OÜ and are protected by Estonian, EU, and international copyright, trademark, and other intellectual property laws. You may not use our trademarks or branding without our prior written consent.

7.5 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to compensate you, attribute it to you, or keep it confidential.

8. DMCA / Copyright Infringement

If you believe that content available through the Service infringes your copyright, you may submit a notice to our designated agent:

Please include the information required by the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512(c)(3), in your notice.

9. Privacy and Data Processing

9.1 Privacy Policy

Your use of the Service is governed by our Privacy Policy at katalo.ai/en/privacy and our Cookie Policy at katalo.ai/en/cookies. By using the Service, you consent to the data practices described therein.

9.2 GDPR and Data Processing Agreement

For customers acting as data controllers under the EU General Data Protection Regulation (GDPR) or UK GDPR, we offer a Data Processing Agreement (DPA) in accordance with Article 28 GDPR. To request a DPA, contact info@katalo.ai.

9.3 AI Processing

As described in Section 7.1, your uploaded images are processed by third-party AI providers to deliver the Service. We implement appropriate contractual safeguards with such providers consistent with our GDPR obligations.

10. Service Availability and Support

10.1 Uptime

We strive to provide a reliable service but do not guarantee uninterrupted or error-free access. The Service is provided on an "as is, as available" basis.

10.2 Manual Service Turnaround

Turnaround times for the Manual Service are estimates only and are not guaranteed unless agreed in a separate written agreement. We will notify you if there are material delays.

10.3 Support

Support is available via email at info@katalo.ai. We aim to respond to inquiries within 2 business days. We may also provide a knowledge base or support resources within the Service or by other direct means.

11. Limitation of Liability

11.1 Disclaimer of Warranties

THE SERVICE, INCLUDING ALL OUTPUT IMAGES AND MANUAL SERVICE DELIVERABLES, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI-GENERATED OUTPUTS WILL MEET YOUR SPECIFIC REQUIREMENTS OR BE FREE OF ERRORS OR ARTIFACTS.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ERPHITEA OÜ, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages, including lost profits, loss of data, loss of goodwill, or business interruption
• Damages exceeding the total fees paid by you to Katalo in the 3 months preceding the claim giving rise to liability
• Third-party claims or actions arising from your use of Output Images
• AI output quality, including staging decisions, aesthetic choices, or factual inaccuracies in generated images
• Force majeure events — any failures due to circumstances beyond our reasonable control

11.3 Jurisdiction-Specific Exceptions

Some jurisdictions (including EU consumer protection law) do not allow the exclusion of certain warranties or the limitation of liability for personal injury or gross negligence. The above limitations apply to the fullest extent permitted by law in your jurisdiction.

12. Indemnification

You agree to indemnify, defend, and hold harmless Erphitea OÜ and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

• Your use of the Service, including the API or Manual Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
• User Content you upload or transmit through the Service
• Your use of Output Images, including any misrepresentation to third parties

13. API-Specific Terms

13.1 API Access

Access to the Katalo API requires registration and may require execution of a separate API agreement. API keys are personal and must not be shared or transferred without our consent.

13.2 Rate Limits and Fair Use

API usage is subject to rate limits as specified in the API documentation. Abusive usage, including exceeding rate limits, attempting to circumvent limits, or using the API in a manner that degrades service for other users, may result in throttling or suspension without refund.

13.3 API SLA

Unless otherwise specified in a separate agreement, Katalo provides no uptime SLA for the API. Enterprise customers seeking SLA guarantees should contact info@katalo.ai.

13.4 White-Labeling and Reselling via API

Use of the API to build products offered to third parties (white-label or integration) requires our prior written consent and may be subject to additional terms and fees.

14. Termination

14.1 Termination by You

You may cancel your subscription at any time via your account settings or by contacting info@katalo.ai. Cancellation takes effect at the end of the current billing period. For annual subscriptions, please provide at least 30 days' notice prior to renewal to avoid being charged for the next period.

14.2 Termination by Us

We may suspend or terminate your access immediately if you: violate these Terms, engage in fraudulent or illegal activity, fail to pay fees when due, or compromise the security of the Service.

14.3 Effect of Termination

Upon termination: your right to use the Service ends immediately; we may delete your User Content and account data after a 30-day grace period; you remain liable for all fees incurred before termination. Sections 7.4, 7.5, 11, 12, and 15 survive termination.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the Republic of Estonia and, where applicable, the law of the European Union, without regard to conflict of law provisions.

15.2 Jurisdiction

For disputes not resolved informally, you agree to submit to the exclusive jurisdiction of the competent courts of Tallinn, Estonia, subject to any mandatory consumer protection rights you may have under the law of your country of residence.

15.3 EU Online Dispute Resolution

If you are a consumer in the EU or EEA, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

15.4 Informal Resolution

Before initiating formal proceedings, we encourage you to contact us at info@katalo.ai to attempt to resolve the dispute informally. We will make good-faith efforts to resolve disputes within 30 days.

16. Modifications to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms at katalo.ai/en/terms and sending an email to your registered email address at least 14 days before the changes take effect (30 days for material changes affecting price or core functionality). Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

17. Third-Party Services

The Service integrates with third-party services, including Lemon Squeezy for payment processing and Google LLC (Google Cloud / Vertex AI, Gemini models) for AI image processing. Your use of such services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

18. Export Compliance

You agree to comply with all applicable export control laws and regulations. You may not use the Service in any manner that would violate such laws.
